CKD Inmobilia acquired a 50% interest in the ownership rights of a property located within the Mayakobá resort, in the Riviera Maya, for developing a luxury apartment residential project, that will be part of the residential condominium, being the only residential space in Mayakoba.
Jauregui y Del Valle advised Inmobilia in connection with the design and implementation of the legal framework and drafting of the necessary agreements for a Joint Venture project with Lakahn. The deal involved sundry agreements, including but not limited to a joint venture agreement, codeveloping agreement, licensing agreements, purchase agreement, option agreement, promise to purchase agreement, lease agreement, trust agreements, beach club developing agreement, beach club operation agreement, etc.
The matter has a relatively high level of complexity due to an extensive due diligence to the Real Estate being purchased and the internal framework limitations of each of the members of the Joint Venture in respect to how to structure and implement the deal, also the deal involves a large number of contracts for the acquisition of the Real Estate, the joint venture relationship, the codeveloping relationship, and finally the co-commercialization relationship.
The deal value was over US$ 8,000,000 and closed on April 8th 2021.
